1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zenguard Headquarters Private Limited, a company incorporated under the Companies Act, 2013, having its registered office in India ("Company," "we," "us," or "our").

By accessing or using any website, application, product, or service operated by Zenguard Headquarters or its subsidiaries, you agree to be bound by these Terms. If you do not agree, you must not use our services.

2. Services Overview

Zenguard Headquarters operates a multi-vertical technology and finance ecosystem comprising: EazyDropshipping — eCommerce infrastructure platform. Zenguard Markets — trading and investment platform. Zenguard Funding — proprietary trading/funded trader program. Zenguard Wallets — digital asset custody and wallet services. Labiba AI, Sara AI, Angi AI — artificial intelligence products. ZenCoder — AI-powered development environment. Apsox — community and social platform. Veilforce — privacy and security tools. ZenQuant — quantitative trading applications. And other current and future products under the Zenguard ecosystem.

Each product may have additional product-specific terms that supplement these master Terms. In case of conflict, product-specific terms shall prevail.

3. Eligibility

You must be at least 18 years of age and legally competent to enter into a binding contract under Indian law. For financial products (Zenguard Markets, Zenguard Funding, Zenguard Wallets), you must meet all applicable KYC requirements and not be a person barred from trading or financial activities by any regulatory authority.

4. Account Registration

You agree to provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials. You are liable for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Intellectual Property

All content, trademarks, logos, software, designs, and materials on our platforms are the exclusive property of Zenguard Headquarters Pvt. Ltd. or its licensors. You may not reproduce, distribute, modify, or create derivative works without our prior written consent. The names "Zenguard," "EazyDropshipping," "Zenguard Markets," "Veilforce," "Apsox," "Labiba," "ZenCoder," and all associated logos are trademarks of Zenguard Headquarters Private Limited.

6. Prohibited Activities

You agree not to: Use our services for any unlawful purpose or in violation of any applicable laws. Attempt to gain unauthorized access to any part of our systems or networks. Engage in market manipulation, wash trading, or any form of fraudulent trading activity. Use automated systems (bots, scrapers) to access our platforms without prior authorization. Impersonate any person or entity, or falsely represent your affiliation. Transmit any malicious code, viruses, or harmful programs. Circumvent any security measures, access controls, or usage limits.

7. Financial Services Disclaimer

Trading in financial instruments (including derivatives, cryptocurrencies, and funded accounts) involves substantial risk of loss. Past performance is not indicative of future results. Our platforms provide tools and infrastructure — they do not constitute financial advice. You are solely responsible for your trading decisions. Zenguard Markets and Zenguard Funding are not SEBI-registered investment advisors or portfolio managers.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Zenguard Headquarters Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services.

Our total aggregate liability shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Zenguard Headquarters Pvt. Ltd., its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India. Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation and, if necessary, mediation.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before they take effect. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.
